Agreement to Terms
By accessing or using Steadfast Ascent's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
Services Description
Steadfast Ascent provides software development services, including but not limited to: MVP development, web application development, and ongoing development support. Specific terms for each engagement are outlined in individual service agreements.
Application Process
Submitting an application does not guarantee acceptance. We review all applications and select projects based on fit, feasibility, and alignment with our capabilities.
If accepted, we will provide a detailed scope document and service agreement outlining deliverables, timeline, payment terms, and equity arrangements (if applicable).
Payment Terms
For our standard MVP offering: 50% payment is due upon project commencement, and 50% is due upon delivery. Equity arrangements are documented via SAFE (Simple Agreement for Future Equity) agreements.
For additional development work, payment terms are outlined in individual project agreements and may include hourly rates, fixed pricing, equity arrangements, or hybrid models.
Intellectual Property
Upon full payment, you own all rights to the custom code we develop for your project. We retain rights to any pre-existing code, frameworks, libraries, and reusable components.
We may showcase your project in our portfolio unless you request otherwise. We will not disclose confidential business information without your permission.
Warranties and Disclaimers
We provide services "as is" and make no guarantees about business outcomes, user adoption, or revenue generation. We build quality software, but market success depends on many factors outside our control.
We warrant that our work will be performed in a professional manner consistent with industry standards. Bug fixes during the support period are included as outlined in your service agreement.
Limitation of Liability
To the maximum extent permitted by law, Steadfast Ascent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Termination
Either party may terminate a project engagement as outlined in the individual service agreement. Termination terms, including payment for work completed and delivery of work-in-progress, are specified in each agreement.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of modified terms.
